Terms of Service

Template — not yet reviewed by counsel. These Terms of Service are a plain-English draft prepared by the Quordo product team to set out the intended commercial terms of the service. They are a starting point, not legal advice, and must be reviewed and adapted by a qualified lawyer (including the governing-law, liability, indemnity, and data-processing provisions, and the final company entity) before Quordo relies on them at go-live.
These terms govern your organization's use of Quordo. In short: an authorised admin signs your organization up, your team uses the service under these terms, you keep ownership of the data you connect, we keep the service running and secure as described, and either side can end the subscription as set out below. 1. Who these terms are between
These terms form a contract between the organization that signs up ("Customer", "you") and Quordo ("we", "us", "our"). The person who creates the workspace represents that they are authorised to bind the organization. By creating a workspace, purchasing a subscription, or using the service you agree to these terms and our Privacy Policy. Where you sign a separate order form or master agreement with us (typically on Enterprise), that document controls if it conflicts with these terms.
2. The service
Quordo is a control plane for an organization's AI estate, with two surfaces: Spend (cross-vendor cost attribution, budgets, threshold alerts, anomaly detection, CSV export, and an audit log) and Coordinate (shared mission context, handoffs, an append-only auditable trace, a coherence metric, and conflict detection, available to agents over the Model Context Protocol). Some capabilities are on our roadmap rather than generally available — for example a SOC 2 attestation — and we identify these as roadmap items rather than promising them by a date.
3. Accounts, seats, and your users
You manage your workspace, add and remove members (seats), and assign roles. You are responsible for your users' compliance with these terms, for keeping credentials confidential, and for activity under your workspace. Tell us promptly at [email protected] if you believe your workspace has been accessed without authorisation. A "seat" is one member of your workspace; seat limits and pricing are as described on the Pricing page and in your order.
4. Connecting your estate
To use the service you may connect AI provider accounts (via API credentials) and register agents. You represent that you are entitled to connect those accounts and to authorise our processing of the resulting usage, cost, and activity data. We encrypt provider credentials at rest, never return them to the browser after they are saved, and use them only to read usage and cost data for your estate. You are responsible for your own use of, and spend with, the underlying AI providers — Quordo reports and governs that spend but does not control or pay your provider bills.
5. Fees, free tier, trial, and billing
The Free plan is available at no charge within its seat and governed-spend limits. The Team plan is billed per seat per month (USD $19 per seat at the date of these terms) with a 14-day free trial; we may ask for a payment method before the trial starts, you are not charged during the trial, and if you do not cancel before it ends the subscription begins at the price shown at checkout. Subscriptions renew automatically each period until cancelled. Enterprise is priced under a separate order form. Fees are exclusive of taxes, which you are responsible for except for taxes on our income. We may change prices on renewal with at least 30 days' notice by email.
6. Cancelling and downgrading
You can cancel or change your plan at any time from billing settings. Cancellation takes effect at the end of the current billing period; you keep access to what you've paid for until then. Except where required by law or expressly stated, fees already paid are non-refundable. If you downgrade, plan limits (seats, features, governed-spend ceiling) apply from the change. Enterprise cancellation and renewal follow the terms of your order form.
7. Your data and ownership
As between you and us, you own the data you connect or input — your usage and cost data, mission context, and agent-activity traces ("Customer Data"). You grant us a limited licence to host, process, and display Customer Data solely to provide and support the service. We do not use Customer Data to train our own or anyone else's general-purpose AI models, and we do not sell it. We process Customer Data as a processor on your instructions; our Privacy Policy and, where applicable, a data processing addendum describe how.
8. Our intellectual property
We own the Quordo software, interfaces, documentation, and branding, and all improvements to them. We grant you a limited, non-exclusive, non-transferable right to access and use the service during your subscription for your organization's internal business purposes. You may not copy, resell, reverse-engineer, or create a competing service from Quordo, and you may not use it to build a product that replicates it.
9. Acceptable use
You agree not to misuse the service. You will not: exceed or circumvent plan limits or access controls; share access outside your organization; probe, scan, or test the security of the service without our written permission; introduce malware; use the service to violate the law or the terms of the AI providers you connect; or use it to store or process data you are not entitled to. We may suspend access to address a material breach, a security risk, or non-payment, and will restore it when the issue is resolved.
10. Service levels and availability
We aim for high availability but do not promise uninterrupted service under these standard terms. We may perform maintenance and will try to give advance notice of planned downtime likely to be significant. Any committed service-level agreement applies only where it is stated in an Enterprise order form.
11. Security and certifications
We maintain the security controls described on our Security page, including encryption in transit and at rest, encrypted provider credentials that are never returned to the UI, per-organization data isolation, and an append-only audit log. Quordo is not SOC 2 certified at the date of these terms; SOC 2 is on our roadmap. We will not represent that we hold a certification we do not hold. If your procurement requires a specific attestation, contact us and we will share our current status honestly.
12. Warranties and disclaimers
We will provide the service with reasonable skill and care. Except as expressly stated, the service is provided "as is" and we disclaim all other warranties to the extent permitted by law, including implied warranties of merchantability and fitness for a particular purpose. Quordo reports and governs AI spend and coordinates agents, but it does not guarantee any particular cost saving, the accuracy or completeness of third-party provider data, or any outcome of your agents' work; cost figures derive from the providers' own reported data, which we present and attribute but do not independently audit.
13. Limitation of liability
Nothing in these terms limits liability that cannot be limited by law (such as for fraud). Subject to that, neither party is liable for indirect, incidental, special, or consequential damages, or for lost profits, revenue, or data, and each party's total aggregate liability arising out of or relating to the service in any 12-month period is limited to the fees you paid us for the service in that 12-month period. Your own spend with the AI providers you connect is your responsibility and is excluded from our liability.
14. Indemnification
You will defend and indemnify us against third-party claims arising from your Customer Data, your use of the service in breach of these terms, or your breach of the AI providers' terms. Any indemnity we offer (for example, an IP-infringement indemnity) will be set out in an Enterprise order form. This section is a placeholder pending counsel review.
15. Term and termination
These terms apply while you use the service. Either party may terminate for the other's material breach that is not cured within a reasonable notice period, and we may terminate or suspend for non-payment or serious misuse. On termination, your right to use the service ends; we will make Customer Data available for export for a limited wind-down period and then delete or anonymise it as described in the Privacy Policy and any data processing addendum.
16. Changes to these terms
We may update these terms — for example to reflect changes in the service, our sub-processors, or the law. We'll give notice of material changes by email or in-product, and continued use after they take effect means you accept them. Where a change materially reduces your rights, you may terminate before it takes effect.
17. Governing law and disputes
The governing law and venue for these terms will be specified here once finalised with counsel (commonly the jurisdiction of the contracting Quordo entity).
